Found out my Colorado LLC was registered to a strip mall mailbox I never set foot in
So back in 2021 I paid one of those online services $299 to set up my LLC for my landscaping biz here in Colorado Springs and never thought twice about it. Pulled my own filings from the Secretary of State site two days ago and the registered agent address is some UPS Store on Academy Blvd I've never been to in my life. If a legal notice had shown up there, I would've had zero clue. Check your own filing on the state site, takes like five minutes, and make sure the agent address is somewhere real mail actually reaches you.
Wait, so the $299 service just stuck some random UPS Store address on there without asking you first? That part blows my mind. Did you go back and look at whatever paperwork or emails they sent you when you signed up, because I bet the address is buried in there somewhere and they just never pointed it out. The bigger question is whether that mailbox place even forwards mail to you or if it all just sits in a bin forever. And who is listed as the actual registered agent on file, the service company or some random person's name? If it's the service, then any lawsuit papers go to them and they're supposed to pass it on, but good luck trusting that. I'd file a change of agent with the state right away and put your own address on it so this never bites you later.
